Spare Parts Company LLC – Terms and Conditions of Sale

1. Introduction

These Terms and Conditions of Sale (“Terms”) govern all purchases made through the websites of Spare Parts Company LLC, 4613 N University Drive – Unit 170, Coral Springs, FL 33067, USA (hereinafter “Spare Parts Company LLC,” “we,” “our,” or “us”).

By placing an order, you (“Customer,” “you,” or “your”) acknowledge and agree to be bound by these Terms. If you do not agree, you may not use our websites or purchase our products. These Terms are governed by the laws of the State of Florida and applicable U.S. federal law.

Customer service is available Monday through Friday, 9:00 AM – 5:00 PM (EST). Inquiries received outside these hours will be addressed on the next business day.

2. Scope of Application

These Terms apply to all online sales, including ordering, payment, delivery, returns, and warranties. They primarily apply to individual consumers; business-to-business (B2B) sales may be subject to separate written agreements.

3. Ordering

You can order directly on our website https://www.a-accessories.com.
You’ll need a customer account. Keep your login information safe.
Orders are confirmed once payment is processed and stock is available.
We reserve the right to refuse or cancel any order in cases of non-payment, incorrect information, suspected fraud, or other irregularities.
All sales are subject to product availability, payment verification, and order confirmation.

4. Prices & Payment

All prices are displayed in U.S. Dollars (USD).
Sales tax will be added where required by law (including Florida state sales tax, if applicable).
Accepted payment methods include Visa, MasterCard, American Express, PayPal, and other major methods.
All payments must be made in full prior to shipment.
In the event of chargeback, fraudulent use, or payment dispute, we reserve the right to cancel the order and recover all related costs.

5. Shipping & Delivery

Shipping fees and options are displayed at checkout and depend on the carrier, delivery address, and selected options.
Displayed delivery times are estimates only and may vary depending on the carrier.
Title and risk of loss pass to the Customer upon delivery to the carrier.
Spare Parts Company LLC is not responsible for delays, additional costs, or losses caused by customs clearance, strikes, or force majeure events.

6. U.S. Import Duties & Taxes

All international shipments may be subject to import duties, tariffs, and taxes imposed by the destination country. These charges are based on product classification and country of origin and are the sole responsibility of the Customer. Spare Parts Company LLC does not collect duties or taxes at checkout. The carrier (e.g., FedEx, UPS) will usually act as the collecting agent and request payment before delivery.

Shipments to the United States: Effective August 29, 2025, pursuant to U.S. Executive Order 14324 eliminating the de minimis exemption, all orders shipped from our European warehouse to the United States are subject to U.S. import duties, taxes, and fees, regardless of order value.

These charges are determined by U.S. Customs and Border Protection (CBP) and are the sole responsibility of the Customer.
Duties and taxes will be collected by the delivery carrier upon delivery.
By placing an order, the Customer expressly acknowledges and agrees to pay these charges.
In case of non-payment or refusal of delivery, all related costs (including return shipping, advanced duties/taxes, storage, and penalties) will be re-billed to the Customer.
Spare Parts Company LLC is not responsible for delays or additional costs arising from customs clearance.

Returns of Products Shipped from France

Products originally shipped from our European warehouse in France must be returned to the same warehouse in France. Returns sent to the United States will not be accepted under any circumstances. Customers are responsible for ensuring that returns are shipped to the designated warehouse of origin.

To avoid rejected packages or additional fees, any return sent to our warehouse in France must be declared as "RETURNED GOODS" on the carrier’s customs form. Any packages that are not properly declared may be refused and returned to the sender.

7. Returns & Cancellations

You can return most items within 7 days of delivery.
Items must be unused, in original packaging, and authorized through our return process.
Shipping costs are non-refundable, and return shipping is at your expense.
A restocking fee (up to 15%) may apply.

8. Damaged Deliveries

Inspect your package at delivery.
Report any damage within 72 hours with photos of the product and packaging.
Spare Parts Company LLC will assist in filing claims with the carrier but cannot guarantee reimbursement.

9. Warranty

All products include a limited warranty (12 months) against defects in materials or workmanship.
Normal wear, misuse, or accidental damage is not covered.
Warranty claims may result in repair, replacement, or refund at our discretion.

10. Limitation of Liability

Spare Parts Company LLC is not liable for indirect, incidental, or consequential damages arising from product use, delivery delays, or customs issues.
Our maximum liability is limited to the purchase price of the product(s) in question.

11. Personal Information & Privacy

We protect your personal data according to U.S. privacy laws (including the CCPA).
Your data is only used for processing orders, customer service, and, if you consent, marketing emails.
Customers have the right to access, correct, or delete their data by contacting contact@asus-accessories.com.
Spare Parts Company LLC implements reasonable technical and organizational measures to safeguard customer data.

12. Intellectual Property

All content on https://www.a-accessories.com, including text, images, trademarks, and logos, is the property of Spare Parts Company LLC or its partners and protected under U.S. copyright and trademark law.
No content may be reproduced, distributed, or used for commercial purposes without prior written consent. Unauthorized use constitutes infringement and may result in legal action.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the competent courts of Broward County, Florida.

14. Entire Agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between Spare Parts Company LLC and the Customer.
